March 20, 2003 The President The Stock Exchange of Thailand Dear Sir, Announcement of Annual Dividend Payment The Board of Directors of Haad Thip Public Company Limited at the meeting 1/2003 held on 20th March 2003 passed the following resolutions :- 1. To pay dividend of 2002 operating year to shareholders totaling 166,015,000 shares, at Baht 0.325 per share. The company has already paid interim dividend of Baht 0.175 per share on 23rd September 2002 for the results of operation for the first haft of 2002, and the remaining dividend Baht 0.15 per share will be paid on 16th May 2003. 2. Resignations of Board Member, Mr. Manate Rattakul, was accepted, effective March 19th 2003. 3. To approve the change in the Company's Seal. 4. That an ordinary general meeting of shareholders Year 2003 should be held on 24th April 2003 at 14.30 hrs. at Saithip Room, 3nd Floor, the Imperial Queen's Park Hotel, 199 Sukhumvit 22, Bangkok, having the following Agenda for consideration: 4.1 Approval of the minutes of the Ordinary General Meeting of Shareholders for the Year 2002. ...2/ - 2 - 4.2 The Board of Director's report for the Year 2002. 4.3 Approval of the company's Balance Sheet and the Income Statement as of December 31, 2002 already audited by the External Auditors. 4.4 Consider the allocation of net profit for Legal Reserves,General Reserves,and dividend payment for the Year 2002's operational results. 4.5 Appoint new directors to succeed those completing their terms, 4.6 Appoint external auditors and approval of auditing fees for the Year 2003. 4.7 Approval of the change in the Company's Seal. 4.8 To consider other issues (if any) 5.
