Haad Thip Plc (HTC), following the discussions of its board of directors' meeting, held on July 3, 1996, from 5.30 - 6.00 pm, has resolved to allot capital increased shares and odd shares that remained from subscription of existing shareholders amounting to 24,214 shares to the company's directors as follows: NAME NUMBER OF ALLOTED SHARES 1. 2nd Lieutenant Pairoj Rattakul 5,152 2. Smornlak Mahasamiti 5,000 3. Yupares Thingtum 5,000 4. Ausaris Amatayakul 5,000 5. Priya Jeerapan 4,000 Total 24,152 The remaining 62 shares will be added to the common shares that have not been alloted. These remaining shares will be reserved for the next allotment. The company reported the allotment to the Stock Exchange of Thailand becuase the share transfer to the company's directors is considered a related transaction as stated in the Stock Exchange of Thailand's announcement. However, the company has not sought approval from the shareholders because the value of the shares as of July 2, 1996 was at Bt55 per share with a worth of Bt1,569,880 which is lower than the Bt10,000,000 level and lower than 3% of net the tangible asset.
